1. Introduction

Welcome to Soulsy AI, a service provided by Individual Entreprenuer NAZARUK OLEKSANDR OLEKSANDROVICH (ФОП НАЗАРУК ОЛЕКСАНДР ОЛЕКСАНДРОВИЧ) (“Company,” “we,” “us,” “our”). These Terms of Service (“Terms”) govern your access to and use of our AI‑powered cooking assistant, website, apps, and related services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Description of the Service

The Service helps you parse recipes, organize collections, estimate nutrition, convert units, manage cooking timers, and receive AI‑generated cooking guidance based on your inputs and preferences. AI outputs may be incomplete, inaccurate, or not suited to your circumstances and are provided for informational purposes only.

3. Eligibility

  • You must be at least 16 years old to use the Service. If you are under 16, do not use the Service.
  • You may use the Service only in compliance with these Terms and applicable laws.

4. Accounts and Security

  • You must provide accurate, complete account information and keep it updated.
  • You are responsible for all activities under your account and for safeguarding your credentials.
  • Notify us promptly at support@sously.ai of any suspected unauthorized use or security incident.

5. Subscriptions, Billing, and Paddle

  • Subscriptions: We offer free and paid plans (e.g., “Home Chef,” “Sous‑Chef Pro”) that auto‑renew until canceled. Plan features, limits, and pricing are described in‑app.
  • Merchant of Record: Payments are processed by Paddle.com (“Paddle”), which acts as Merchant of Record. Your purchase is subject to Paddle’s terms, privacy notice, tax handling, and refund processes.
  • Trials/Promotions: Any free trial or promotional pricing is subject to stated limitations and may convert to a paid subscription unless canceled before the trial ends.
  • Price Changes: We may change prices with reasonable notice and apply changes at the next billing cycle.
  • Taxes: Prices may exclude applicable taxes, which Paddle may collect based on your location.
  • Cancellation: You can cancel at any time via the billing page or as instructed by Paddle. Access remains until the end of the current period; thereafter your plan downgrades or ends.
  • Refunds: Except where required by law or described by Paddle, fees are non‑refundable. For receipts, invoices, and refunds, use the links provided by Paddle or consult Paddle support.

6. Acceptable Use

You agree not to:

  • Violate any law, third‑party rights, or these Terms.
  • Upload or share content you do not own or are not authorized to use.
  • Scrape, re‑host, or reproduce third‑party content (including recipes) in ways that infringe copyrights or site terms; respect robots.txt, site terms, and licensing.
  • Attempt to access the Service or other systems without authorization, probe or scan for vulnerabilities, or disrupt others’ use (e.g., spam, DDoS).
  • Use the Service for categories prohibited by Paddle policies or card‑network rules, including adult content, gambling, financial/trading services, illicit streaming or circumvention tools, deepfakes/likeness misuse, spyware, telemarketing, and other high‑risk or unlawful activities.

We may suspend or terminate accounts that violate this section.

7. AI‑Generated Content; No Professional Advice

  • AI Output: The Service may generate instructions, explanations, or recommendations. These are probabilistic outputs and may be incorrect or incomplete.
  • Not Medical or Professional Advice: Nutrition estimates and dietary information are for informational purposes only and are not a substitute for professional medical, nutrition, or dietary advice. Always consult a qualified professional for health‑related decisions.

8. Food Safety and Allergies

  • You are responsible for verifying ingredients, labels, and safe preparation, including avoiding cross‑contamination, checking temperatures, and confirming allergen information with manufacturers.
  • Allergy tools and warnings are estimates and may miss allergens or cross‑contact risks.

9. Your Content and License

  • Ownership: You retain ownership of content you submit (e.g., notes, collections, user recipes).
  • License to Us: You grant us a non‑exclusive, worldwide, royalty‑free license to host, store, display, perform, adapt, and use your content solely to operate and improve the Service.
  • You represent that your content and its use by us as permitted here will not infringe third‑party rights or laws.

10. Our Intellectual Property

The Service, including software, designs, trademarks, and content we provide, is owned by us or our licensors and protected by IP laws. You receive a limited, revocable, non‑transferable license to use the Service for personal, non‑commercial purposes as permitted by these Terms.

11. Third‑Party Content and Links

The Service may link to third‑party sites or display third‑party content (including recipe sources). We do not endorse or control such third parties and are not responsible for their content, policies, or practices. Respect original sources and their terms.

12. Privacy, Cookies, and Consent

  • Privacy: Our processing of personal data (including optional allergy/dietary preferences) is described in our Privacy Policy. Where required (e.g., special‑category data under GDPR), we obtain explicit, separate consent which you can withdraw at any time.
  • Cookies: Non‑essential cookies are used only with your consent. See our Cookie Policy for details and controls.

13. DMCA / IP Takedown

If you believe content on the Service infringes your IP rights, send a detailed notice to support@sously.ai including: identification of the work, the allegedly infringing material and location, your contact info, a statement of good‑faith belief, and a statement under penalty of perjury that your notice is accurate and you are authorized to act.

14. Service Changes; Availability

We may add, change, or remove features and may suspend or discontinue the Service, in whole or in part, with or without notice. We are not liable for any modification, suspension, or discontinuation.

15. Disclaimers

THE SERVICE AND ALL CONTENT (INCLUDING AI OUTPUT AND NUTRITION ESTIMATES) ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON‑INFRINGEMENT.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID (IF ANY) FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

17. Indemnification

You will defend, indemnify, and hold us harmless from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your content, your use of the Service, or your violation of these Terms or applicable laws.

18. Term and Termination

We may suspend or terminate your access immediately if you violate these Terms or if necessary to protect the Service or others. You may stop using the Service at any time. Sections that reasonably should survive (e.g., IP, disclaimers, limitations, indemnity) will survive termination.

19. Governing Law; Dispute Resolution

These Terms are governed by the laws of Ukraine, without regard to its conflict of laws principles.

You and we agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration, rather than in court. The arbitration will be conducted in English, in Kyiv, Ukraine, by a single arbitrator.

Despite the above, you and we both agree that nothing in these Terms will be deemed to waive, preclude, or otherwise limit the right of either of us to: (a) bring an individual action in small claims court; or (b) seek injunctive relief in a court of law.

This section does not deprive you of any mandatory consumer protections under the law of the country where you reside. You and we waive any right to participate in a class-action lawsuit or class-wide arbitration to the fullest extent permitted by law.

20. Export and Sanctions

You may not use the Service if you are subject to sanctions or are in a country embargoed by your jurisdiction’s laws. You agree to comply with all export control and sanctions laws.

21. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

22. Severability; Waiver; Entire Agreement

If any provision is unenforceable, it will be limited or eliminated to the minimum extent necessary, and the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. These Terms constitute the entire agreement between you and us regarding the Service.

23. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms with a new “Effective Date.” Your continued use after changes means you accept the revised Terms.
